SolaceCompass General Image License Terms

These SolaceCompass General Image License Terms (the "General Terms") form a binding agreement between SolaceCompass, doing business as SolaceCompass ("SolaceCompass," "Licensor," "we," "us," or "our"), and the person or legal entity identified in the applicable order, receipt, invoice, or License Certificate ("you" or "Licensee").

1. Agreement Structure and Acceptance

1.1 Contract documents. Your agreement consists of:

(a) these General Terms; (b) the License Schedule identified at checkout or in your License Certificate; and (c) the order, receipt, invoice, or License Certificate identifying the Licensed Assets and any specific limits.

1.2 Priority. If there is a conflict, the following order controls:

  1. a signed or issued License Certificate or Order Form;
  2. the applicable License Schedule;
  3. these General Terms;
  4. any product-page summary or marketing description.

1.3 Acceptance. You accept this Agreement by affirmatively checking a box or otherwise expressly agreeing to it during checkout, by signing or electronically accepting a License Certificate, or by downloading, accessing, copying, printing, displaying, or using a Licensed Asset after being presented with conspicuous notice of this Agreement.

1.4 Authority. If you accept on behalf of a legal entity, you represent and warrant that you have authority to bind that entity. If you lack that authority, you are personally responsible for your use.

1.5 License, not sale. The transaction grants limited permission to use the Licensed Assets. It does not sell, assign, or transfer ownership of the Licensed Assets or any intellectual-property rights.

2. Definitions

2.1 "Licensed Asset" means each image, illustration, coloring page, vector, raster image, PDF, preview, package, or other visual asset expressly identified in the applicable order or License Certificate, including any format versions delivered as part of that purchase.

2.2 "Clean File" means any unwatermarked or source-quality version of a Licensed Asset, including SVG, AI, EPS, PDF, PNG, JPG/JPEG, WebP, TIFF, PSD, or any other file from which the Licensed Asset can reasonably be extracted, reproduced, or reused.

2.3 "Stand-Alone Distribution" means making a Licensed Asset or Clean File available in a manner that permits another person to download, extract, copy, reuse, repurpose, or access it separately from a use expressly permitted by the applicable Schedule.

2.4 "Source File" means any editable, master, layered, vector, production, or high-resolution file, including an SVG, AI, EPS, PSD, or commercial master.

2.5 "Authorized User" means a person expressly permitted to access or use a Licensed Asset under the applicable Schedule or License Certificate.

2.6 "Direct Client" means an individual who personally receives bona fide professional services from a Named Practitioner. It does not include members of the public, another professional's clients, an employer's workforce generally, or participants in an organization-wide program.

2.7 "Participant" means an individual end user expressly permitted to receive a copy or view a Licensed Asset under an Organization License Certificate.

2.8 "License Certificate" means a receipt, order record, invoice, or separate document issued by SolaceCompass that identifies the Licensee, the license type, the Licensed Assets, the effective date, and any quantitative or operational limits.

2.9 "User Additions" means original coloring, handwriting, notes, or other material added by an authorized end user to a lawfully used copy of a Licensed Asset.

3. Ownership and Reservation of Rights

3.1 Ownership retained. Except for the limited rights expressly granted by this Agreement, SolaceCompass and its licensors retain all right, title, and interest they own or control in and to the Licensed Assets.

3.2 AI-assisted assets. Some Licensed Assets may have been created through an AI-assisted production workflow. SolaceCompass reserves, to the extent recognized by applicable law, rights in protectable human-authored contributions, including selection, coordination, arrangement, editing, cleanup, vector preparation, metadata, compilation, packaging, branding, written materials, and other original contributions.

3.3 No overstatement. Nothing in this Agreement represents that every element of an AI-assisted Licensed Asset is independently eligible for copyright protection in every jurisdiction. The contractual permissions and restrictions in this Agreement apply between the parties independently of whether every individual element is copyrightable.

3.4 User Additions. As between SolaceCompass and an authorized end user, the end user retains rights, if any, in their original User Additions. No User Addition transfers ownership of the underlying Licensed Asset or expands the license.

3.5 All ungranted rights reserved. Any right not expressly granted is reserved. Silence is not permission.

4. General License Grant

4.1 Subject to full payment and continuing compliance with this Agreement, SolaceCompass grants the Licensee a limited, non-exclusive, worldwide, non-transferable, non-assignable, and non-sublicensable license to use the Licensed Assets solely as expressly permitted by the applicable License Schedule and License Certificate.

4.2 The grant is expressly conditioned on compliance with:

Any use outside the express grant is unlicensed.

4.3 A license applies only to the specific Licensed Assets identified in the order or Certificate. Purchase of one asset, pack, edition, or format does not license any other asset, pack, edition, update, or future release.

5. Universal Restrictions

Unless a separately signed agreement expressly states otherwise, you must not, and must not permit another person to:

5.1 Stand-alone distribution. Sell, resell, license, sublicense, gift, lend, distribute, transmit, upload, publish, host, share, or otherwise make any Licensed Asset or Clean File available on a stand-alone basis.

5.2 Public file access. Place a Clean File or Source File on a public website, public cloud link, public shared drive, public repository, social-media download, public LMS, public portal, peer-to-peer network, or other location from which an unauthorized person can access or extract it.

5.3 Source-file sharing. Share any Source File with a client, participant, colleague, contractor, affiliate, customer, or other third party except an Authorized User expressly permitted under the applicable Schedule.

5.4 Resale and commercial products. Use a Licensed Asset in or on merchandise, print-on-demand products, templates, digital products, downloadable products, coloring products, books, posters, wall art, apparel, mugs, stationery, craft files, software templates, or other goods or services for sale, resale, licensing, or distribution where the Licensed Asset contributes material value.

5.5 Stock and marketplaces. Submit or distribute a Licensed Asset, a substantially similar extraction, or an unauthorized derivative through a stock library, design-asset marketplace, clip-art library, template marketplace, print-on-demand service, or similar distribution channel.

5.6 Authorship and ownership claims. Claim authorship or exclusive ownership of a Licensed Asset; falsely identify yourself as its creator; remove or falsify rights information; or use the Licensed Asset to prevent SolaceCompass or others authorized by SolaceCompass from using it.

5.7 Trademark and branding. Register or seek to register a Licensed Asset, in whole or material part, as a trademark, service mark, design mark, trade name, logo, brand identifier, domain-name identity, or similar source identifier.

5.8 False endorsement. Use a Licensed Asset in a way that states or implies that SolaceCompass endorses, certifies, sponsors, clinically validates, or is affiliated with a person, product, service, political cause, organization, or treatment unless SolaceCompass has expressly agreed in writing.

5.9 Unlawful or harmful use. Use a Licensed Asset in violation of law or third-party rights, or in a defamatory, fraudulent, deceptive, hateful, exploitative, pornographic, or intentionally harmful context.

5.10 Medical or therapeutic claims. Use a Licensed Asset to claim or imply that the asset diagnoses, prevents, cures, treats, or is clinically proven to improve PTSD or any other medical or mental-health condition, unless the specific claim has been expressly authorized in writing by SolaceCompass and is lawful and properly substantiated.

5.11 Removal of rights information. Intentionally remove, alter, obscure, or falsify embedded metadata, copyright-management information, identifiers, license notices, or attribution required by the applicable Schedule, except where a permitted technical conversion necessarily strips metadata and the Licensee does not cause or exploit that stripping to conceal origin or rights.

5.12 Reverse extraction. Extract, isolate, trace, vectorize, redraw, separate, or reconstruct a Licensed Asset for the purpose of creating a reusable asset library, competing product, substitute asset, or unauthorized derivative.

5.13 Tokenization. Mint, tokenize, sell, license, or associate a Licensed Asset with any NFT, blockchain token, crypto-asset, or comparable digital ownership or scarcity mechanism.

5.14 Circumvention. Remove or bypass access controls, watermarks, download restrictions, file protections, or other technical measures applied by SolaceCompass.

5.15 Exceeding the license. Use a Licensed Asset in any manner not expressly authorized by the applicable Schedule or License Certificate.

6. File Security and Access

6.1 You must use reasonable administrative, technical, and physical safeguards appropriate to the nature of the files and your license tier.

6.2 At minimum, you must:

6.3 If you discover material unauthorized access, distribution, or disclosure of a Clean File or Source File, you must notify SolaceCompass at contact@solacecompass.com without unreasonable delay and cooperate in reasonable mitigation.

6.4 Organization Licensees must comply with the more specific security and incident-notification duties in the Organization Schedule.

7. Artificial Intelligence and Machine-Learning Restrictions

7.1 You must not intentionally use, submit, upload, provide, or make available any Licensed Asset, Clean File, Source File, or materially extracted element for the purpose of:

7.2 Incidental technical processing by ordinary software used solely to view, store, print, resize, or transmit a Licensed Asset does not by itself violate this Section, provided you do not intentionally authorize use of the Licensed Asset for model development or training.

7.3 No license under this Agreement includes AI-training, model-development, data-licensing, or synthetic-data rights.

8. Permitted Technical Changes

8.1 Subject to the applicable Schedule, you may make only those technical changes reasonably necessary for a permitted use, such as:

8.2 You may not materially redesign, redraw, remove material elements from, or create a substitute or competing asset from a Licensed Asset unless a separate written agreement expressly permits it.

8.3 Co-branding is prohibited unless expressly authorized by an Organization License Certificate or separate written agreement.

9. Attribution and Notices

9.1 No general public attribution is required for ordinary personal use unless a product page or License Certificate says otherwise.

9.2 You must not remove required SolaceCompass branding, notices, identifiers, or end-user restrictions from any distributed copy.

9.3 Where a Schedule permits end-user distribution, the Licensee must provide the applicable end-user notice in a reasonably conspicuous manner.

9.4 Permission to use the SolaceCompass name or logo is limited to accurate attribution and does not grant trademark rights.

10. Professional and Mental-Health Disclaimer

10.1 The Licensed Assets are creative, educational, reflective, or self-support resources. They are not medical devices, diagnostic tools, crisis services, psychotherapy protocols, or substitutes for qualified professional care.

10.2 SolaceCompass does not represent or warrant that a Licensed Asset will diagnose, prevent, cure, treat, or produce any particular clinical or therapeutic outcome.

10.3 A practitioner or organization using a Licensed Asset remains solely responsible for:

10.4 No license creates a professional relationship between SolaceCompass and a Licensee, Direct Client, Participant, or end user.

11. Licensee Responsibility for Authorized Users

11.1 The Licensee must ensure that Authorized Users receive notice of applicable restrictions and use the Licensed Assets only within the Licensee's scope.

11.2 To the extent within the Licensee's direct or reasonable control, the Licensee is responsible for misuse by Authorized Users.

11.3 The Licensee must promptly take reasonable steps to stop known misuse and cooperate with SolaceCompass in mitigating unauthorized distribution.

11.4 A recipient's limited personal permission to retain or color a lawfully supplied copy is not a transferable sublicense and does not authorize further reproduction or distribution.

12. Fees, Delivery, and Records

12.1 The license becomes effective only after successful payment, unless SolaceCompass expressly agrees otherwise in writing.

12.2 Delivery of files does not expand the license. Technical possession of a file does not create permission to use it outside the applicable Schedule.

12.3 SolaceCompass may retain order, acceptance, version, and license-scope records for legal, accounting, rights-management, and enforcement purposes, subject to applicable privacy law and the Privacy Policy at https://www.solacecompass.com/privacy/.

12.4 Refunds, taxes, delivery, and consumer cancellation rights are governed by applicable law and the Terms of Sale at https://www.solacecompass.com/rights/. Nothing in this Agreement waives non-waivable consumer rights.

13. Term

13.1 The term is stated in the applicable Schedule or License Certificate.

13.2 A perpetual license continues indefinitely for the purchased edition, subject to this Agreement and termination for breach.

13.3 A perpetual license does not include future assets, updates, editions, or expanded rights unless expressly stated.

14. Suspension and Termination

14.1 SolaceCompass may suspend access or terminate the license for a material breach.

14.2 For a breach that is reasonably curable, SolaceCompass may provide written notice and ten (10) days to cure.

14.3 No cure period is required for conduct involving:

14.4 Upon termination, you must immediately stop all unauthorized use and, within thirty (30) days, delete or destroy all copies in your possession or control except copies that applicable law requires you to retain.

14.5 Lawfully distributed physical copies in the hands of end users before termination need not be recalled unless required by law or a final order, but no new distribution may occur.

14.6 Sections concerning ownership, restrictions, accrued payment obligations, disclaimers, indemnity, liability, dispute resolution, and any provisions that by their nature should survive will survive termination.

15. Third-Party Claims and Stop-Use Notice

15.1 If you receive or reasonably anticipate a third-party claim concerning a Licensed Asset, notify SolaceCompass promptly at contact@solacecompass.com.

15.2 If SolaceCompass reasonably believes continued use of a Licensed Asset may create material legal risk, SolaceCompass may direct you to stop new use and distribution.

15.3 You must reasonably cooperate with a stop-use instruction. SolaceCompass may, in its discretion and subject to applicable law, provide a replacement asset, credit, or refund of the license fee paid for the affected asset as the exclusive contractual remedy, except where a separate signed agreement provides otherwise.

16. Limited Warranty

16.1 SolaceCompass warrants that, at the time of licensing, it has authority to grant the contractual permissions expressly granted by this Agreement to the extent those permissions concern rights SolaceCompass owns or controls.

16.2 Except for Section 16.1 and any non-waivable statutory warranty, the Licensed Assets are provided "as is" and "as available."

16.3 SolaceCompass does not warrant:

17. Indemnity

17.1 Business and professional Licensees. To the fullest extent permitted by law, a Practitioner or Organization Licensee will defend, indemnify, and hold harmless SolaceCompass and its officers, employees, contractors, and licensors from third-party claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable legal fees arising from:

17.2 The indemnity does not apply to the extent a claim is caused solely by SolaceCompass's breach of the express warranty in Section 16.1 or by conduct that applicable law does not permit SolaceCompass to exclude.

17.3 Consumers. A Personal-Use Licensee is responsible for losses arising from their unlawful or prohibited use to the extent permitted by applicable consumer law. Nothing in this Section imposes a consumer indemnity that is prohibited or unfair under mandatory law.

18. Limitation of Liability

18.1 To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, lost revenue, lost goodwill, or lost data arising from this Agreement.

18.2 To the fullest extent permitted by law, SolaceCompass's aggregate liability arising from a Licensed Asset or this Agreement will not exceed the greater of:

(a) the fees paid by the Licensee for the affected Licensed Asset or licensed product during the twelve (12) months before the event giving rise to the claim; or (b) the minimum liability that applicable law does not permit the parties to exclude or limit.

18.3 The limitations do not apply where prohibited by law, including liability that cannot lawfully be excluded for fraud, fraudulent misrepresentation, willful misconduct, or death or personal injury caused by negligence where applicable law so provides.

18.4 Organization or enterprise customers requiring different liability or IP-indemnity terms must obtain a separately signed agreement.

19. Injunctive and Urgent Relief

Unauthorized distribution of digital assets can cause harm that may be difficult to measure. To the extent permitted by law, SolaceCompass may seek injunctive, equitable, or comparable urgent relief in a court of competent jurisdiction to stop actual or threatened unauthorized access, distribution, AI use, resale, or other misuse.

20. Compliance with Law and Mandatory Rights

20.1 Each party must comply with laws applicable to its own conduct.

20.2 Nothing in this Agreement waives rights or remedies that cannot lawfully be waived.

20.3 If you are a consumer, mandatory consumer protections in your country or region remain applicable notwithstanding a choice-of-law clause.

21. Assignment and Transfer

21.1 You may not assign, transfer, delegate, sell, sublicense, or otherwise dispose of this Agreement or the license without SolaceCompass's prior written consent.

21.2 A corporate merger, change of control, asset sale, reorganization, or transfer to an affiliate does not automatically transfer an Organization License unless the License Certificate or a signed amendment expressly permits it.

21.3 SolaceCompass may assign this Agreement in connection with a merger, reorganization, sale of substantially all relevant assets, or transfer of the SolaceCompass licensing business, subject to applicable law.

22. Notices

22.1 Legal notices to SolaceCompass must be sent to contact@solacecompass.com and any postal address stated at https://www.solacecompass.com/license-terms.

22.2 SolaceCompass may send notices to the email address associated with the order or License Certificate.

22.3 A party must keep its contact information reasonably current.

23. Governing Law and Forum

23.1 This Agreement is governed by the laws of British Columbia, Canada, excluding its conflict-of-laws rules.

23.2 Subject to mandatory consumer rights and any court jurisdiction that cannot lawfully be excluded, the parties submit to the exclusive jurisdiction of British Columbia.

23.3 No universal arbitration or class-action waiver is imposed by this draft. Any such mechanism should be added only after jurisdiction-specific counsel review.

24. General Provisions

24.1 Entire agreement. This Agreement is the entire agreement concerning the Licensed Assets and supersedes prior discussions concerning the same license.

24.2 No oral modification. A modification must be in writing and accepted by authorized parties, except that a License Certificate may specify transaction-specific limits.

24.3 Prospective updates. SolaceCompass may update its standard terms prospectively. The version accepted for a perpetual license continues to govern that purchase unless the Licensee agrees to replacement terms.

24.4 Severability. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions remain in effect.

24.5 No waiver. Failure to enforce a provision is not a waiver.

24.6 Headings. Headings are for convenience only.

24.7 Electronic records. Electronic acceptance, signatures, receipts, License Certificates, and records may be used to evidence agreement to the extent permitted by law.

24.8 Language. The controlling language is English, subject to mandatory language laws. Translations are for convenience unless a signed agreement says otherwise.
